Terms and Conditions

Please read these Terms and Conditions ("Terms"), which set forth the legally binding agreement between you (or the corporate entity you represent) and Agbedemeji Ltd ("Company", "we", or "us"), operating the brand and platform Peppa. These Terms govern your access to and use of the Peppa website, APIs, engines, software, and related services (collectively, the "Service") available at https://peppa.io.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.
1. Definitions
- "Platform" / "Site": Refers to the domain https://peppa.io, associated subdomains, application programming interfaces (APIs), and technical portals managed by Agbedemeji Ltd.
- "User" / "Client": Refers to institutional partners, enterprise entities, commercial banks, trade desks, and authorized individuals accessing the Service.
- "Transaction": Refers to any financial routing, cross-border payment, trade settlement, or liquidity instruction executed through the Peppa platform infrastructure.
2. Scope of Infrastructure Services
Agbedemeji Ltd provides financial orchestration engines, settlement technology, and liquidity infrastructure designed to empower institutions and commercial entities under the operating brand Peppa.
- Agbedemeji Ltd operates as a technology infrastructure provider. Unless explicitly stated under a specific institutional service level agreement (SLA), Agbedemeji Ltd does not directly accept public deposits or operate as a consumer bank. Financial underlying settlements are cleared through licensed banking and financial partners.
- While Peppa facilitates automated routing and operational efficiencies, clients remain responsible for verifying the underlying commercial legitimacy, terms, and counterparty relationships associated with their transactions.
3. Institutional Accounts & Eligibility
- You must be at least 18 years of age and hold full legal authority to enter into binding legal agreements on behalf of yourself or the entity you represent.
- When creating an enterprise or developer account, you must provide accurate, complete, and current legal and compliance details.
- You are entirely responsible for maintaining the confidentiality of your platform credentials, API keys, and administrative access. You must immediately notify Peppa at bd@peppa.io upon discovering any unauthorized access or security breach.
4. Client Representations & Warranties
By using Peppa's Services, you represent and warrant that:
- You have full corporate power and legal authority to agree to these Terms.
- All information provided during KYB/KYC verification is accurate and legitimate.
- Your use of Peppa infrastructure complies with all applicable local and international regulations, including sanctions laws, foreign exchange guidelines, and anti-money laundering (AML) protocols.
- You will not use the Service to route illicit funds, engage in fraudulent activity, or bypass legal trade controls.
5. Service Fees & Pricing
Fees for Peppa services, infrastructure usage, cross-border routing, and API calls are specified in your respective commercial contract, order form, or displayed portal rates.
- All fees paid are non-refundable unless agreed upon in writing under a custom Enterprise SLA.
- Agbedemeji Ltd reserves the right to adjust service rates with prior written notice to institutional clients.
6. Intellectual Property
The Service, platform architecture, core software code, APIs, documentation, trade secrets, logos, and brand assets available on https://peppa.io remain the exclusive intellectual property of Agbedemeji Ltd. Users are granted a limited, revocable, non-transferable, non-sublicensable license to access and integrate the APIs solely for authorized operational use in accordance with these Terms.
Users shall not:
- Reverse-engineer, decompile, or attempt to derive the underlying source code of the Peppa platform.
- Copy, modify, or create derivative works based on Peppa's proprietary technology.
- Use Peppa's trademarks or domain names without express prior written consent.
7. Prohibited Activities
When utilizing Peppa infrastructure, you agree not to:
- Violate any applicable laws, monetary rules, or regulatory frameworks.
- Transact in contraband, illegal goods, or unauthorized financial instruments.
- Introduce malicious code, malware, viruses, or automated scraping engines into the platform.
- Interfere with or compromise the security, balance stability, or technical performance of Peppa's network.
8. Limitation of Liability & Disclaimers
- As-Is Provision: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
- Direct & Consequential Losses: To the maximum extent permitted by law, Agbedemeji Ltd, its directors, employees, and partners shall not be liable for any indirect, incidental, punitive, or consequential damages—including loss of profits, balance sheet float disruption, or loss of data—arising out of your use or inability to use the platform.
- Banking Partner Delays: Agbedemeji Ltd is not liable for transaction failures or delays caused by third-party correspondent banks, clearing networks, or regulatory holds outside of our direct control.
9. Indemnification
You agree to defend, indemnify, and hold harmless Agbedemeji Ltd, its officers, directors, employees, and affiliates against any claims, liabilities, damages, or costs (including reasonable legal fees) resulting from your breach of these Terms, unauthorized account usage, or violation of third-party rights or statutory laws.
10. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
- Arbitration: Any dispute, controversy, or claim arising out of or in connection with these Terms that cannot be settled amicably through mutual negotiation within thirty (30) days shall be referred to and finally resolved by binding arbitration at the Lagos Court of Arbitration (LCA) before a sole arbitrator in accordance with applicable arbitration laws. Each party shall bear its own expenses, and arbitrator fees shall be split equally.
